1. Acceptance & Service Description

By accessing Quote2Batch, you agree to these Terms of Service. Quote2Batch is a cloud-based and on-premise formulation management and ERP platform for pharmaceutical and nutraceutical manufacturers.

2. User Responsibilities & Intellectual Property

Users are responsible for their accounts and data security. All UI, math engines, and source code are the protected intellectual property of Quote2Batch LLC.

Acceptable Use Policy: No reverse engineering, no unauthorized access, and no scraping of our service is permitted.

3. Fees, Confidentiality, & Termination

Our services are subscription-based, with payment details set forth in individual agreements. Users must protect proprietary formulation data and maintain confidentiality. Either party may terminate the agreement with a 30-day written notice.

4. Disclaimers & Limitations of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Quote2Batch LLC's liability is capped at the total fees paid in the preceding 12 months. We are not liable for any indirect, consequential, or incidental damages. Users must indemnify Quote2Batch LLC against third-party claims.

5. Legal Provisions

These terms are governed by the laws of the State of California. Any disputes will be resolved through good faith negotiation, followed by binding arbitration in Orange County, CA jurisdiction.
